When such a situation arises, often an (older) employee is addressed who no longer wants the (new) manager on his team. The reason then often given is that the employee is unlikely to perform well in the future once future changes are implemented.

The manager knows there is no record based on poor performance - it hasn't even happened yet - and offers a settlement agreement (VSO) on. The employee is often already busy looking for another job and has no energy left to negotiate terms properly. This is such a waste, the employer has absolutely no reason for dismissal and with the situation outlined above, the employer still gets rid of the employee easily and cheaply.
